3. The District Council expressly acknowledges and agrees that such security is subject to and subordinated to the security interests of the parties listed below. If the security right of one of the listed parties is not registered at the time of registration of that security right, the district council undertakes to provide the debtor with all necessary subordination agreements free of charge: 10.01 This security agreement benefits and binds the parties and their respective heirs. Executors, administrators, successors and assignees. (a) any material change in the information contained in this Agreement (including related Annexes) concerning the debtor, the transaction or the debtor`s collateral; (h) all amounts received or receivable by the producer in respect of the distribution, exhibition and use of the production, including, but not limited to, amounts due or to be due to the producer under distribution agreements entered into by the producer for the distribution of the production; and 8. The Guarantor accepts only with respect to the costs of acquiring administrator rights that the District Council shall have access to payments made in accordance with the Model Agreement and shall have the right to review and audit them at annual intervals, subject to a mutually agreed confidentiality agreement between the Guarantor and the District Council. at the ordinary establishment and during normal business hours, such books, records, receipts and any other document reasonably necessary to confirm the right to acquire the rights of the directors and to calculate their payment. The producer signs the following security agreement and forwards it to the local district council office. 1. This security agreement is concluded between the debtor and the district council to ensure that the debtor fulfils all its financial obligations payable after filing in accordance with the model agreement, including fees for the acquisition of administrator rights and any other amount payable after production in accordance with the model production agreement. 2.02 All terms defined in the Standard Agreement and not otherwise defined in this Security Agreement shall have the meaning set forth in the Standard Agreement and all terms not otherwise defined in this Security Agreement shall have the meaning required by law. A Guild Member has no obligation to enter into a contract or agreement with any third party on behalf of the Producer.
2. In the normal course of things, the producer and a guild member discuss the terms and conditions orally, enter into an oral contract for the services and finally execute a written contract for the services that reflects the terms of the oral agreement and the negotiations on which it is based. 4. The Guarantor shall be released from the warranty given herein and from all obligations arising therefrom earlier a security agreement is entered into in accordance with Basic Article 14.09(c) to the District Council or the delivery of a distribution guarantee or distributor contract from an authorised distributor in accordance with Basic Article 14.10(c) to the District Council. (d) No settlement of disputes under the collective agreement of the person`s home work organization may, in any way, adversely affect the terms of this contract ….
